ICLD's Pending Acquisition of Vaultlogix Expected to Bring High-Margin Recurring Revenue Stream

On ICLD's recent first quarter earnings call, Company management spoke extensively about the pending acquisition of Vaultlogix, a cloud-storage company with high-margin recurring revenue streams. Vaultlogix has 99% recurring revenue streams, 80% gross margins and 40% net margins, which provide a strong complement to ICLD's business model. In addition, Vaultlogix has over 500 channel partners selling its solutions that will now be able to offer ICLD's suite of services, reaching 2000+ customers through their direct sales team. The capabilities Vaultlogix brings will enable ICLD to advance its goals by more than 24 months and aggregate a customer base that other companies could only hope to achieve.

OPEXA: On World MS Day, It's Time to Recognize Our Differences

May 28 marks World MS Day, a time meant to raise awareness about the neurodegenerative disease multiple sclerosis. MS is a complex autoimmune disease that differs from patient to patient. It differs in the way the disease may manifest itself. It differs in the way the disease progresses. And, it differs in the way an individual's own immune system turns against his or her central nervous system to wreak havoc. No two MS patients are the same, and yet we continue to treat the approximately 2.3 million people worldwide with MS as if they were.

MS is unpredictable and can give rise to a variety of symptoms that can range from numbness in the limbs to vision loss and paralysis. There are distinct paths the development of the disease takes. In its relapsing remitting form, the disease is marked by flare-ups that worsen and increase with frequency. About 85 percent of all MS patients are initially diagnosed with relapsing remitting MS. Over time, nearly all of them will develop secondary progressive MS, where periods of flare-up give way to a constant state of disability. It is estimated that approximately 30 to 40 percent of individuals with MS have the more advanced, secondary progressive form.

Actinium Set To Follow In Opko's Foosteps Amid Near Term Catalysts

Opko Health (NYSE: OPK) is perhaps most well known at this point for the near daily insider buying by its founder, CEO and Chairman Phillip Frost. A quick look at its insider transaction history paints quite the picture in that regard. What this has helped in part to create is an extremely valuable and liquid currency that the company has leveraged to create a strong stable of portfolio companies in varying stages of development. Opko's portfolio companies target an assortment of billion dollar market opportunities, with several already on the goal line of generating possibly significant revenues. Rolapitant, which was outlicensed to Tesaro (Nasdaq: TSRO), announced positive phase 3 results in Q4 2013; phase 3 results are expected for Rayaldy in mid-2014. Opko's 4Kscore has been tested in 9 clinical studies and over 10,000 patients with its final U.S. clinical validation currently ongoing.

Actinium Pharmaceuticals (NYSE: ATNM) shares several similarities in following the path that Opko has surged along the past couple years. Actinium has its own portfolio of products at varying stages in the pipeline addressing markets with multiple billion dollar opportunities as well. Interestingly, it is a different set of market opportunities than Opko has that would either grant Opko access to a large new potential market in its pipeline or work tangentially with an existing Opko product that could provide vertical integration. For example: Opko's 4Kscore blood test for prostate cancer and Actinium's Actimab-P treatment for prostate cancer. This type of vertical integration is something Frost has shown a keen interest to try and build throughout his career.

Precious Metals Report by Paul Lengemann

Gold: Gold bears continue to fight off recent rallies. Friday brought about economic headlines to help them despite worries of Ukrainian unrest heading into polls. US New Home Sales figures were released better than the consensus. As the FOMC minutes released mid last week reflected, the Fed is keeping an eye on the housing market for improvement. This helps that impression. The new monthly figure came out better along with a much improved measure for the previous month. These numbers were enough to change perspectives from sluggish to improving. Fewer economic worries invite liquidation from gold longs.


The Ukrainian election may have kept gold from dropping ahead of the weekend, but the relatively peaceful election process and the accepted outcome have taken that floor away. The newly elected president has declared he will work with the separatists to end violence and also announced talks with Putin. The direct confrontation with the countries troubles before he takes power has given traders confidence that this conflict may be coming to an end.


Technically, the consolidation range is persistent. Bears have taken control targeting potential sell stops near 1281. The cross of the 100 (1297.25) through the 200 (1296.53) DMAs has arrived, but will need a close above these numbers to trigger trend following buyers. Downside support should be seen near previous lows of 1282, 1277, 1273 and 1268. The more familiar upside should see resistance at 1293, 1297, 1305 and 1315.

Companies Must Innovate or Perish

Look for companies that are not afraid to spend heavily on R&D, who have a history of perseverance in the face of adversity. Phil Frost is a microcap superstar that has demonstrated this time and time again. As he was building IVAX, he also invested in dozens of other companies along the way in a variety of industries, including banks, high tech, metals and mining, consumer goods, biotechs and of course his specialty healthcare. He now flies around in his own Airbus ACJ319, owns a huge estate in Miami, owns one of the largest privately own art collections in the world, is heavily involved in the building of OPKO Health, donates millions to charities, as he continues to invest in microcap companies, and is still at age 77, a major force in the microcap space. We would be wise to follow his investments as he continues to build his empire.

MidSouth Week In Review

Weekly Update from Fund Manager Buzz Heidtke, MidSouth Investment Fund

The S&P was up 1% for the week to close at an all-time high. New home sales rose 6.4% in April with stock of houses on the market hitting a 3 1/2 year high.

I bought AT&T (T-$35.31) today $35.30 as a CD alternative after the stock had declined from 36.75 on the announcement of the company's proposed acquisition of DirecTV. I have a 12-month total return target of 10% (5% dividend + 5% appreciation). On the downside, I feel that T would decline only about 25% as much as the general market. So if we were to have a 20% market decline, I would anticipate taking a 5% hit to reinvest in a more interesting situation. I added to my Travel Centers of America (TA - $8.36) at $7.67 on a technical breakout and on the news that Shell and TA are teaming up to build CNG (Compressed Natural Gas) fueling lanes at up to 100 of TA's 250 locations. TA has a book value of $12.38 but has been depressed recently because of a delay in their financial filings. Analysts expect the company to earn $1.00 in 2014. My average cost in TA is $8.38. I sold some of my Federated National (FNHC - $23.95) this week at $24+ and expect to sell more that I will be long term on by next week. I am worried that Florida casualty rates will begin to fall, and that we cannot expect another no-hurricane season like last year. Two insiders, including the CFO, sold this week. I began buying FNHC at $5+. My railcar stocks were hot for the week as my American Railcar rose 7% and Greenbrier and Trinity made new highs.My Staples (SPLS - $11.65) declined 13% on a poor earnings report. Seeking Alpha had these comments: Staples reported Q1 EPS of $0.18, missing expectations by $0.03. Comparable-store sales and traffic were down 4% year over year, while revenue was down 2%. Guidance for Q2 was $0.09-$0.15 vs. expectations of $0.15. However, the forward guidance of earnings adds a new low of $0.09 next quarter is worrisome, and likely why the stock dropped 12.5% today. It appears that one of the reasons for the lower guidance is due to restructuring costs. The 4.1% yield at today's closing price in SPLS is attractive and well-supported by cash flow even with a modest decrease in earnings. The company has a contract with the State of Tennessee to supply office supplies and is attempting to close a contract with Metro Nashville.

  • Gun Deaths - In 2012, the U.S. had 8.8 deaths per 100,000 people vs. United Kingdom with 0.25 and Japan with 0.06. The U.S. has 88.8 guns per 100 people vs. 6.2 in the UK and 0.6 in Japan – ABC News….60% of gun deaths are suicides, 3% accidental and 34% make up the remainder of gun deaths – www.about.com

  • Synthetic Diamonds - The new cultured stones are actually better than many mined diamonds. The Gemological Institute classifies them as colorless or near colorless stones, a premium category that includes only 2% of diamonds. Their hardness is 0.9 of diamonds.   • Diamonds - One could have purchased a $10,000 engagement ring from Tiffany's in 1987 or bought their stock, which would now be worth approximately $520,000 – Jay Kumar


  • Life Expectancy - Japanese women are the longest livers with a life expectancy of 87 years vs. 81 for U.S. women. Iceland men live to be 81.2 years vs. 76 for American men. A boy born in a rich country can expect to live to 76 vs. 16 years less for a boy born in a poor country. For girls the gap is 19 years, 82 vs. 63 – World Health Organization


  • Student Debt - In 2011, home ownership of those holding student debt vs. those without showed little difference. A recent softness has occurred in the first owner/student debt holder category. College educated homeowners under the age of 40 with student debt, have a median net worth of $8,700, while the same demographic without student debt have a median net worth 7.4x higher or $64,700, according to Pew Research – The Christian Science Monitor


  • Student loans average $35,000 - Assuming 5% interest rate, it would take 10 years of monthly payments of $371.23 to retire the debt – Markit

3QFY14, PFIE reported record revenue of $9.5 million (169% increase YoY) and net income of $1.2 million (470% increase YoY). Revenue from U.S. operations was $5.2 million, representing YoY and QoQ growth of 353.9% and 6.2%, respectively, and revenue from Canadian operations was $4.3 million, representing YoY and QoQ growth of 79.7% and - 2.7%, respectively. Going forward, we expect U.S. operations to continue to drive revenue growth, a result of the Company's sales team expansion over the past few months. The Company owns over 320 patents and patent applications and is the first publicly-traded IP-monetization company to begin patent-assertion activities for IP assets owned by the Rockstar Consortium Rockstar is jointly owned by Apple, Microsoft, Sony, Ericsson and others and manages a patent portfolio valued at $4.5 billion. We are applying a 1.5x multiple to the NPVs of SPEX's existing lawsuits ($265.5 million * 1.5), giving a value of $398.3 million. Additionally, we are applying an initial valuation of $200 million to the recently acquired patents and patent applications from Rockstar, based on 1% of the estimated 2013 total addressable market of $20 billion.
